End-user licence agreement

This agreement is between you, as a user of the Arbor Portal, and Arbor Inc (“Arbor”, “we”, “us”). It sets out the terms on which Arbor lets you use the portal. The portal is built and operated on Arbor’s behalf by Rain Analytics. By signing in, you accept these terms. If you do not accept them, do not sign in — speak to your accountant at Arbor instead.

1. What the portal is

The Arbor Portal gives you access to management accounts and financial reports that Arbor has prepared for your organisation. It is a way of receiving work Arbor has already done for you, not a bookkeeping or accounting tool in its own right, and it does not replace advice from your accountant.

2. Your account

Arbor sets up portal accounts and decides which companies and reports each account can see. You may not share your sign-in details with anyone else, and you’re responsible for what happens under your account once you’re signed in. Tell Arbor immediately if you think someone else has access to your account.

3. Licence to use the portal

Arbor grants you a personal, non-exclusive, non-transferable licence to sign in and view the reports made available to your account, for the purpose of running your organisation. This licence lasts for as long as Arbor keeps your account active, and does not give you any ownership in the portal, its software, or its design.

4. Acceptable use

You agree not to:

• try to access a company or report your account has not been granted;
• copy, redistribute, or publish reports beyond your own organisation’s use;
• attempt to reverse-engineer, scrape, or interfere with the portal’s operation; or
• use the portal in any way that breaches South African law.

5. Confidentiality of your reports

The reports the portal shows you are prepared specifically for your organisation and contain its financial information. Treat them with the same care you would any confidential business record, and only share them with people inside your organisation who need to see them.

6. Availability and changes

Arbor aims to keep the portal available, but does not guarantee uninterrupted access — maintenance, updates, or issues outside our control can take it offline temporarily. Arbor may change or discontinue features of the portal, and will let you know of any change that affects what you can see or do.

7. No warranty

The portal is provided as it is. While Arbor takes care in preparing the figures it shows you, the portal itself — as software — is not warranted to be error-free or uninterrupted. Nothing in this section limits Arbor’s responsibility for the accuracy of the accounting work it has agreed to do for you under a separate engagement.

8. Liability

To the extent permitted by law, Arbor’s liability arising from your use of the portal itself — as opposed to the accounting services it reports on — is limited to direct loss caused by Arbor’s own negligence, and excludes indirect or consequential loss.

9. Ending this agreement

Arbor may suspend or close your account if these terms are broken, or if your organisation stops being an Arbor client. You may ask Arbor to close your account at any time. Closing an account ends the licence in section 3; it does not affect any separate engagement between your organisation and Arbor.

10. Governing law

This agreement is governed by the law of South Africa, and any dispute arising from it falls under the jurisdiction of the South African courts.

11. Changes to this agreement

Arbor may update this agreement from time to time. Material changes will be brought to your attention the next time you sign in. Continuing to use the portal after a change means you accept the updated terms.
